END USER LICENSE AGREEMENT (EULA)¶
Hopr.co Blueprint Product¶
IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY. BY DOWNLOADING, INSTALLING, OR USING THE HOPR.CO BLUEPRINT ("THE PRODUCT"), YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL, OR USE THE PRODUCT.
This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, "User") and Hopr.co ("Hopr") for the Blueprint (Product), which includes computer software (YAML files, Python applications, and documentation) provided in a downloadable bundle.
1. INCORPORATION OF WEBSITE TERMS OF USE¶
This Agreement incorporates by reference the Hopr.co Terms of Use and Privacy Policy available at https://hopr.co (the "Website Terms"). By accepting this EULA, User reaffirms their agreement to the Website Terms. In the event of a direct conflict between the provisions of this EULA and the Website Terms, the provisions of this EULA shall prevail solely as they relate to the use of the Blueprint Product.
2. LICENSE GRANT AND SCOPE¶
Subject to your compliance with the terms of this Agreement, Hopr grants you a limited, non-exclusive, non-transferable, and revocable license to install and use the Product solely for the term and environments specified in the EULA addendum that accompanies this EULA.
3. GEOGRAPHIC RESTRICTIONS¶
- USA Use Only: This Product is licensed for use exclusively within the United States of America. User represents and warrants that:
- The User is a resident of or an entity legally organized within the United States.
- The Product will be downloaded, installed, accessed, and used only on computers and infrastructure physically located within the United States.
- Prohibited Use: Any access or use of the Product from outside the United States is strictly prohibited and shall result in the immediate and automatic termination of this license.
4. INTELLECTUAL PROPERTY AND PATENT NOTICE¶
The Product, including its architecture, design, and specific implementation of Automated Moving Target Defense (AMTD), is the proprietary intellectual property of Hopr.co.
- Patent Protection: User acknowledges that the technologies, methods, and processes incorporated into the Product are protected by one or more issued patents and/or pending patent applications owned by Hopr.co.
- Ownership: No title to or ownership of the Product, or any of the intellectual property rights embodied therein, is transferred to the User. Hopr.co retains all rights, title, and interest in and to the Product and all related intellectual property.
- No Implied Licenses: No license is granted by implication, estoppel, or otherwise, except for the express license rights set forth in Section 1.
5. SPECIFIC USAGE LIMITS¶
The license granted herein is strictly limited by the following "Usage Caps":
- Workload Limit: User may deploy the Product for no more than fifteen (15) workload (application) instances.
- Session Limit: User is permitted a maximum of 100,000 sessions across all deployments during the Term.
- Term: This license is valid for a period of ninety (90) days from the date the download is made available, which is usually within minutes of signup ("Term").
6. RESTRICTIONS ON USE AND EXPORT CONTROL¶
User shall not, and shall not permit others to:
- Use the Product in a production environment or for any commercial processing.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Product components not explicitly provided as open source.
- Modify, adapt, or create derivative works based on the Product.
- Rent, lease, lend, sell, or sublicense the Product to any third party.
- EAR Compliance and Export Control: The Product is subject to United States export control laws and regulations, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce. User shall not export, re-export, or transfer the Product, or any technical data related thereto, directly or indirectly, to any country, person, or entity outside the United States without first obtaining all necessary licenses or other authorizations from the U.S. Department of Commerce.
7. SECURITY AND CONFIDENTIALITY¶
The Product bundle contains sensitive computer code and credentials. User agrees to:
- Maintain the Product and all included credentials in a secure manner on a local computer.
- NOT transmit, upload, commit, or deploy the Product code, configurations, or credentials over a network or by data entry to any external or public repository (e.g., public GitHub, GitLab, Bitbucket).
- Promptly notify Hopr of any unauthorized access to or use of the Product.
8. "AS-IS" AND DEVELOPMENT GRADE INFRASTRUCTURE¶
- No SLA: Hopr does not commit to any Service Level Agreement (SLA).
- Development Grade: The Product may rely on "development-grade" infrastructure provided by third parties. User acknowledges that this infrastructure may not operate 24/7 and is subject to unanticipated service interruptions, downtime, or permanent cessation.
- Disclaimer: THE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
9. REVOCATION AND TERMINATION¶
Hopr reserves the right to revoke this license at any time, for any reason or no reason, at its sole discretion. This Agreement terminates automatically at the end of the 90-day Term. Upon termination or revocation, User must cease all use of the Product and delete all copies of the zip bundle and its contents from their local environment.
10. LIMITATION OF LIABILITY¶
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOPR.CO BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA) ARISING OUT OF THE USE OF OR INABILITY TO USE THE PRODUCT.
11. GOVERNING LAW¶
This Agreement shall be governed by and construed in accordance with the laws of the state of Maryland in which Hopr.co is headquartered, without regard to its conflict of law provisions.
12. ACKNOWLEDGMENT¶
By using the Product, User acknowledges they have read this Agreement, understand it, and agree to be bound by its terms and conditions. User further commits to adhering to all license stipulations regarding workload and session limits.
